1. Introduction

The following is a description of how ShinyBees, Inc. and its affiliates collect, use, and maintain your Personal Information on the ShinyBees Platform, as well as an explanation of your legal rights regarding that information. This document is known as the "Privacy Policy."

If you use the ShinyBees Platform, you acknowledge that you have reviewed and comprehend this Privacy Policy and the accompanying Terms of Service (referred to together as the "Agreement"). The Agreement regulates the usage of the ShinyBees Platform. ShinyBees will handle information in accordance with the Agreement.

2. General Terms

This Privacy Policy uses several terms to refer to specific parties and aspects of the ShinyBees Platform. ShinyBees, Inc. may be referred to as "ShinyBees," “we,” “our,” or “us.”

Users of the ShinyBees Platform may be called “User,” “Users,” “you,” “your,” or “Client,” and may also be referred to as “ShinyBee cleaner,” as appropriate. The community platform provided on our website is referred to as the “Site(s),” while the mobile applications available on both iOS and Android are referred to as the “Apps.” Collectively, ShinyBees’ Sites, Apps, and related services, information, and communications are referred to as the “ShinyBees Platform.” This Privacy Policy is considered a part of, and is incorporated into, the Terms of Service.

3. Information Collection

Information you provide to ShinyBees

ShinyBees collects certain Personal Information from you, which refers to information that can be used to identify, describe, or associate with you, or that can be reasonably associated with you. Examples of Personal Information collected by ShinyBees may include, but are not limited to:

• Contact Information: This may include your first and last name, postal address, telephone number, and email address.
• Billing Data: This includes your payment instrument number, such as a credit or debit card number, expiration date, and security code, as required to process your payments.
  

Identity Information: If you are a ShinyBee cleaner, we may collect Personal Information such as your date of birth, address, and national identification number (if applicable). We may also collect information needed to validate your identity, such as the results of basic criminal record checks provided by you or by our Third-Party Agents (as defined below), to the extent permitted by law in your jurisdiction.

ShinyBees may collect Financial Information to assist ShinyBee cleaners in setting up payment accounts and to allow Clients to pay fees to ShinyBees and make payments to ShinyBee cleaners. Financial Information includes credit card numbers, bank routing numbers, tax information, taxpayer identification numbers, and other payment-related details as necessary. We use Financial Information to operate the ShinyBees Platform and ensure that ShinyBee cleaners are paid by Clients. We collect this information to fulfill our contracts with Users and for our legitimate interests in providing our platform and services. To maintain the security of your financial data, we have engaged a third-party processor to handle and store your payment information.

ShinyBees offers certain promotions on the ShinyBees Platform, such as newsletters, surveys, contests, and similar programs, which are optional and not mandatory. You may choose not to participate or provide your data in connection with these promotions. If you choose to participate, we will use your data to send you tailored newsletters and other communications based on the information we have about you. Additionally, we will use your data to operate and manage the survey, contest, or similar offering for our legitimate interest in promoting our business and the ShinyBees Platform. If you no longer wish to receive marketing communications from us, please refer to Section 7, Your Rights and Choices, to learn about how you can opt-out.

We collect information related to your employment and education history, including transcripts, writing samples, and references, as required to evaluate your job application for available positions.

You have the option to provide Personal Information to ShinyBees through email or chat messages in connection with inquiries about the ShinyBees Platform. We will use this information to assist us in responding to your inquiry. Additionally, we collect the content of any messages you exchange with other Users on the ShinyBees Platform.

It is important to note that we only collect Personal Information that is necessary for us to provide our services to you through the ShinyBees Platform. We may also collect additional information from you as necessary to comply with legal obligations or to protect our legitimate interests, such as fraud prevention or ensuring the safety and security of our Users. We do not sell or rent your Personal Information to any third parties for their marketing purposes.

ShinyBees may receive certain information about you from third parties, such as Partners or Third-Party Agents, in order to comply with legal obligations and improve the ShinyBees Platform. This information may include basic information such as your name, address, and email, as well as demographic data, Financial Information, or fraud detection information. ShinyBees may also work with Third-Party Agents to perform identity checks and criminal background checks on ShinyBee cleaners, if applicable and permitted by local law, in order to ensure the safety of Users and maintain the integrity of the ShinyBees Platform.

4. Information ShinyBees Collects Automatically

When you use the ShinyBees Platform, we collect certain information from you in order to provide our services. This information includes your name, contact details, and payment information, as well as any other information you choose to provide. If you are a cleaner on our platform, we may also collect information about your cleaning experience and skills.

Additionally, we automatically collect certain information about your use of the ShinyBees Platform, such as the features you use, the pages you visit, and the time of day you browse. This information helps us to improve our services and to provide you with a better experience. We also collect information about the device you use to access the ShinyBees Platform, such as your IP address and the type of browser you use.

We may receive additional information about you from third-party sources, such as our partners or other service providers. This information helps us to comply with our legal obligations and to improve the ShinyBees Platform.

We take your privacy seriously and use various measures to keep your information secure. You have the right to access and control your personal data, as described in Section 7 of our Privacy Policy. If you have any questions or concerns about our privacy practices, please contact us.

5. ShinyBees' Use of Information

In accordance with this Privacy Policy, we collect and use information for business and commercial purposes.

We use your data to operate and make available the ShinyBees Platform. This includes connecting you with other Users to enable the posting of, selection for, completion of, and payment for ShinyBee cleaners, as well as conducting billing and fraud prevention activities to ensure a safe and secure environment for Clients and ShinyBee cleaners to conduct business, and to comply with our legal obligations.

We may also conduct identification and criminal background checks on Users, as permitted by local law, to ensure the safety of our Users both online and offline, prevent unlawful acts, protect the public against dishonesty, and maintain the integrity of the ShinyBees Platform.

To improve the ShinyBees Platform and grow our business, we may analyze ShinyBees Platform usage, conduct internal market research, and troubleshoot problems.

We use your data to contact you and deliver transactional information, administrative notices, marketing notifications, offers and communications relevant to your use of the ShinyBees Platform. We may also provide you with customer support, assist you in the resolution of complaints and disputes, and enforce our Terms of Service.

We may engage in Interest-Based Advertising, using cookies and other technologies to place ads where we believe interested Users will see them. This includes advertising products, companies, and events that we think might interest you through the email address and/or phone number you provide. We use Interest-Based Advertising to provide an engaging and relevant experience, promote our services, and grow our business.

ShinyBees uses collected information to analyze and conduct market research to improve and promote the ShinyBees Platform, as well as to offer services to Users who have expressed interest or can be presumed to have interest based on market analysis. Additionally, ShinyBees may use your cell phone number to provide notifications about cleaning projects, for marketing purposes with your consent, and to administer the ShinyBees Platform. Standard SMS and per-minute charges may apply, and push notifications can be opted-out of on your mobile device. Calls to or from ShinyBees or its Third Party Agents may be recorded and monitored for quality control and training purposes, which may contain Personal Information. For more information or to opt-out, please refer to the "Your Rights and Choices" section below or Section 9 of our Terms of Service.

6. Information Sharing

We take great care in sharing the information we collect about you and only do so in accordance with the practices outlined in this Privacy Policy or as disclosed at the time of collection or sharing. One way we may share your information is with third-party agents who process information on our behalf for business purposes. We require our Third-Party Agents to sign a contract that prohibits them from retaining, using, or disclosing your information for any other purposes besides performing the services for us. However, we may allow them to use aggregated or de-identified information that does not identify you for any purpose except as prohibited by applicable law.

To ensure that the ShinyBees Platform operates effectively, we may need to share your Personal Information with third-party agents, representatives, vendors, and service providers. This includes sharing your information for the following purposes: email origination, identity and criminal background checks (as permitted by applicable law), fraud prevention and detection, receipt, invoice, or support services, customer relationship management services, data analytics, marketing and advertising, website hosting, communications services, technical support, financial transaction fulfillment (supported by Stripe), chargeback and collection services, and any other purposes that help us provide the ShinyBees Platform. We contractually require our third-party agents to only use your information for the specific purposes of providing support services to us and not to disclose or use your information for any other purposes, except as required by law.

If you enter a sweepstakes, contest, or other promotion voluntarily, we may share your information as set out in the official rules that govern the promotion, as well as for administrative purposes and as required by law (e.g., on a winners' list). By entering a promotion, you agree to the official rules that govern that promotion, and may, except where prohibited by applicable law, allow the sponsor and/or other entities to use your name, voice, and/or likeness in advertising or marketing materials. If you want us to, we may occasionally contact you with information about special events, activities, promotions, contests, submission opportunities, and programs. However, you have the ability to ask ShinyBees not to contact you with this type of information in your Account. For more information, please see Section 7, Your Rights and Choices.

We use a method called Matched Ads to display targeted ads, which involves sharing your personal information with third-party partners or incorporating their pixel on our Sites. These partners then match the common factors between our data and their data or other datasets to display targeted ads. For example, we may use Facebook Custom Audiences by incorporating the Facebook pixel on our Sites and sharing your email address with Facebook. If you do not want to receive targeted ads, please see Section 7, Your Rights and Choices, for more information on how to opt-out.

As a platform that connects Clients and ShinyBee cleaners, ShinyBees may share a User's contact information (such as name, phone number, email, or postal address) with other Users, or with the recipient User's authorized representative, for specific reasons. This sharing of information is necessary to facilitate the resolution of disputes or investigations related to interactions between multiple Users of the ShinyBees Platform, or to facilitate the performance of a cleaning project. Please note that this exchange of information is a crucial aspect of the functioning of the ShinyBees Platform.

ShinyBees and its Third Party Agents may disclose your Personal Information or User Generated Content to courts, law enforcement, governmental or public authorities, tax authorities or authorized third parties, as required or permitted by law. This may include situations where it is necessary to comply with legal or regulatory obligations, respond to a court order, warrant or subpoena, respond to a valid legal request relating to an investigation into alleged criminal or illegal activity, or address any other activity that may expose ShinyBees to legal or regulatory liability.

In some jurisdictions where ShinyBees operates, the law may require us to collect and remit information about our users' permits, licenses, taxes, or social security registrations. In such cases, we may disclose user information, such as contact details, identification information, transaction dates and amounts, license and permit status, and tax identification number(s) to relevant governmental authorities.

If we have reason to believe, in our sole discretion, that someone is causing injury to or interfering with the rights of our users, the general public, or ShinyBees, we reserve the right to disclose Personal Information from both private and public areas of the ShinyBees Platform, to the extent permitted by applicable law, without the need for a court order, warrant, or subpoena.

It is our policy to provide notice to users before producing their information in response to law enforcement requests, unless we are prohibited by law or court order from doing so, or we have reason to believe that the user's account has been compromised such that the notice would go to the wrong person or would be counterproductive or create a safety risk. In emergency situations where prior notice would be impractical, we may provide notice after the fact.

ShinyBees may share information in connection with any proposed or actual merger, purchase, sale, or any other type of acquisition or business combination of all or any portion of our assets or transfer of all or a portion of our business to another business. This may include sharing Personal Information and User Generated Content with the other party or parties involved in the transaction. In the event of such a transaction, we will provide notice to Users before their Personal Information is transferred and becomes subject to a different privacy policy.

Additionally, certain areas of the ShinyBees Platform, such as discussion forums or other community features, may be publicly accessible and any information that you post in these areas may be viewable by other Users and the general public. Please be aware that any information that you choose to share in public areas of the ShinyBees Platform can be read, collected, and used by others who access them. We recommend that you exercise caution when sharing any Personal Information or User Generated Content in these public areas.

7. Your Rights and Choices

If you wish to stop receiving promotional communications from ShinyBees, you can do so by contacting us and requesting that your Personal Information be removed from our databases. However, please note that certain information, such as your age, cannot be altered by yourself, and reasonable measures are taken to ensure the accuracy of our Users' ages. If you need to make a correction to such data, please contact us at hello@shinybees.app.

To opt out of receiving promotional communications from ShinyBees, you can go to the Account tab in your Profile or click on the unsubscribe link in any email marketing message. If you receive promotional communications via text message, you can opt out at any time by following the instructions provided in those messages to text the word "STOP." Please note that your opt-out is limited to the phone number used and will not affect subsequent subscriptions.

It is important to note that even if you opt out of receiving promotional communications, you may still receive non-promotional communications from us regarding your account, cleaning projects, transactions, servicing, or ongoing business relationship with ShinyBees. If you receive unsolicited promotional communications from a ShinyBees domain, please let us know.

8. ShinyBees' Information Retention Policy

ShinyBees retains personal data for the duration of your use of the platform to fulfill our contractual obligations to you. We may also retain your data for longer periods as permitted by law and as necessary to satisfy our legitimate interests and comply with legal obligations. Exhibit A provides examples of document retention periods. Additionally, we may retain data that does not directly identify you, such as data stored under a random identifier. This data is used for research and service improvement purposes. We take steps to ensure that this data cannot be used to re-identify you.

9. ShinyBees’ Security of Collected Information

We take the security of your information seriously and have implemented reasonable administrative, physical, and technical safeguards to help protect your information from unauthorized access, disclosure, alteration, and destruction. However, please be aware that no security measures are perfect and we cannot guarantee the security of your information. You are responsible for keeping your password and account information confidential, and you should not share your password with anyone. If you share a computer or use a public terminal, we recommend that you sign out of your ShinyBees account and close the browser window to help protect your information from unauthorized access. We also regularly review and update our security practices to ensure the highest level of protection for our Users' information.

10. Notification of Changes

ShinyBees periodically reviews and updates its Privacy Policy as necessary. This means that the Privacy Policy may change over time as the ShinyBees Platform is updated and expanded. If there are any material changes to the Privacy Policy, ShinyBees will make reasonable efforts to notify you by email. ShinyBees also encourages you to review the Privacy Policy periodically to stay informed about how your personal information is being used and protected.

11. Children’s Privacy

ShinyBees is committed to protecting the privacy of children online. We do not knowingly collect personal information from children under the age of 13 (or higher as required by local law) without prior verifiable parental consent, except as permitted by law. If we become aware that we have collected personal information from a child without such consent, we will take reasonable steps to delete it as soon as possible. If you believe that we may have collected personal information from a child under the applicable age limit without proper consent, please contact us immediately at hello@shinybees.app so that we can investigate and take appropriate measures.

13. Jurisdiction-specific Provisions

For users in the United States, ShinyBees follows applicable U.S. laws when collecting, using, and retaining personal information. However, ShinyBees is not liable if any unauthorized individuals obtain the information you provide on the platform.

While ShinyBees takes commercially reasonable measures to ensure the security of all personal information, we are not liable for any unauthorized access to or use of our secure servers or any personal information stored there. By using the ShinyBees platform, you agree to hold ShinyBees harmless for any damages that may result from such unauthorized access or use.
